HOW TO STARTING COMPANY IN INDONESIA?

Type of Company Incorporation in Indonesia:

  • Local Company is 100% Local or WNI Owned
  • Foreign Company is 100% Foreigner or WNA Owned

Minimum Capital Required:

  • Local Company no minimum capital required
  • Foreign Company the minimum capital is 10M

Company Address:

  • Need to have physical address to obtain domicile letter

Documents Legality:

  • Deed of Establishment: This is a legal document that outlines the company's establishment, including shareholders, directors, and articles of association.
  • Legalize Your Company: This involves getting approval from the Ministry of Law and Human Rights (Kementerian Hukum dan HAM).
  • Register Your Business License: You'll need to register your business with the Indonesian Investment Coordinating Board (BKPM) for Foreign Companies.
  • OthersBusiness License: Depending on the industry, you may need specific licenses from relevant authorities (e.g., Ministry of Industry, Ministry of Trade, etc.)

Tax Identification Number (NPWP):

  • This is required for all businesses. It's obtained from the tax office.

Open a Local Bank Account:

  • You'll need a local bank account for your business operations.

Compliance and Reporting:

  • Ensure you are aware of all local laws and regulations governing your business.
  • Comply with annual reporting, tax filing, and any other regulatory requirement

Requirement Documents from the Shareholders:


For Foreigner

  • Individuals :
    Your current Passport copy, email address and phone number
  • Foreign Companies:
    Your company Incorporation Documents and latest Audited Financial Report

For Indonesian

  • Individuals :
    KTP & NPWP and your current email address and phone number
  • Companies:
    Deed of Establishment and the Ministerial Letter of Approval along with amendments (if any), NPWP, NIB, KTP & NPWP of the Director.
